1. Acceptance of Terms

By accessing or using Tooldee's website (tooldee.app) or any of its products (FocusDesk, Reviewly, ChasePay), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

Tooldee is operated by Promota, based in Bareilly, Uttar Pradesh, India. These Terms are governed by the laws of India.

2. Description of Services

Tooldee provides the following SaaS (Software as a Service) products:

• FocusDesk — A productivity management platform
• Reviewly — An AI-powered review collection and management system
• ChasePay — An automated invoice chasing and management platform

All products are delivered as cloud-based software accessible via the internet. We reserve the right to modify, suspend, or discontinue any service with reasonable notice.

3. Account Registration

To use our paid services, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old to create an account. Business accounts must be registered by an authorized representative.

4. Subscription and Billing

Paid plans are billed monthly or annually (as selected). All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

• Subscriptions renew automatically at the end of each billing period
• You may cancel your subscription at any time from your account settings
• Cancellation is effective at the end of the current billing period
• We do not provide refunds for partial billing periods (except under our Refund Policy)
• Prices may change with 30 days' notice

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable Indian or international law or regulation
• Infringe the intellectual property rights of others
• Transmit spam, malware, or any harmful content
• Attempt to gain unauthorized access to our systems
• Collect personal data from other users without consent
• Use the service to send fake reviews or engage in deceptive practices
• Reverse-engineer, decompile, or attempt to extract source code
• Resell or sublicense the service without written authorization

6. Intellectual Property

Tooldee and its products, including all content, features, and functionality, are owned by Promota and are protected by Indian and international copyright, trademark, and other intellectual property laws.

You retain ownership of all data you input into our services. By using our services, you grant us a limited license to process your data solely to provide the services.

7. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the maximum extent permitted by law, Tooldee/Promota shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the services ceases immediately. You may export your data within 30 days of termination.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bareilly, Uttar Pradesh, India.
